The Imperfect Co. Pty Ltd: The Choir Imperfect – Terms and Conditions
1. Introduction
These Terms and Conditions govern your participation in and use of The Choir Imperfect Project (the “Project”), which is owned and managed by The Imperfect Co. Pty Ltd, hereinafter referred to as “Pace Randolph” or “the Owner.” By participating in this Project, you agree to be bound by these terms.
2. Intellectual Property Rights
a. Ownership: All intellectual property rights associated with the Project, including but not limited to copyright, trademarks, and other proprietary rights, are owned by Pace Randolph. Participants have no ownership or other property interest in any of the intellectual property associated with the Project.
b. License to Use: Participants grant Pace Randolph a perpetual, irrevocable, non-exclusive, royalty-free, worldwide license to use, reproduce, modify, publish, create derivative works from, and display any content, information, or materials participants provide or make available in connection with the Project.
3. Revenue and Profits
a. Publishing Revenue: Pace Randolph will allocate ten percent (10%) of the publishing revenue generated from songs created with The Choir Imperfect for The Choir Imperfect related projects and causes (‘The Imperfect Projects’).
b. Allocation and Voting: The allocated revenue will be used for ‘The Imperfect Projects’ as determined by a majority vote of The Choir Imperfect participants. Details regarding the voting process, including how projects and causes are nominated and selected, will be provided separately.
c. No Financial Interest: Participants understand that they will not receive any other financial interest, share, or profit from the publishing revenue generated by the Project, except as expressly provided in these Terms and Conditions.
4. General Conditions
a. Modification of Terms: Pace Randolph reserves the right to modify these Terms and Conditions at any time, with modifications becoming effective immediately upon posting. Continued participation in the Project following the posting of modified terms will constitute acceptance of the modified terms.
b. Governing Law: These Terms and Conditions are governed by and construed in accordance with the laws of Australia, and you irrevocably submit to the exclusive jurisdiction of the courts in the State of New South Wales.
5. Indemnification and Liability
a. Release of Liability: Participants agree to release and hold harmless Pace Randolph and their agents, representatives, employees, partners, and licensors from any and all claims, demands, losses, liabilities, and expenses (including attorneys’ fees) arising out of or in connection with the Project.
b. Indemnification: Participants agree to indemnify and hold Pace Randolph harmless from any losses, including legal fees and expenses, arising out of your use of the Project, your violation of these Terms and Conditions, or your violation of any rights of a third party.
